It's not easy to "be the head" of an entire company. There are so many people to think about.
The degree of responsibility is the difference in the sentences you gave.

They are similar in meaning, but to me "to head" implies that you are still a member of whatever thing it is you're heading, whereas "in charge of" is more of a managerial capacity. I'd say the latter is a bit stronger and implies more of a supervisory role, but there really isn't that much difference.
